Terms & Conditions of Sale
1. Definitions
“Seller” refers to Silver Jewellery Blanks by Sebastian James.
“Buyer” refers to the business, artist, jeweller, or company purchasing goods from the Seller.
“Goods” refers to jewellery blanks, findings, components, and related products supplied by the Seller.
2. Trade Customers Only
Goods are supplied exclusively for business-to-business transactions. By placing an order, the Buyer confirms they are purchasing for business purposes and not as a consumer.
3. Product Specifications
All dimensions, weights, photographs, renderings, and descriptions are provided as guides only. Minor variations may occur due to the manufacturing process.
The Seller reserves the right to make minor modifications to products without prior notice where such changes do not materially affect the intended use of the Goods.
4. Suitability of Goods
The Buyer is solely responsible for determining whether the Goods are suitable for their intended application.
The Seller accepts no responsibility for the Buyer’s manufacturing processes, resin work, stone setting, engraving, memorial inclusion work, or any modifications made after delivery.
5. Pricing
All prices are displayed in Pounds Sterling (£) and are exclusive of VAT unless otherwise stated.
The Seller reserves the right to amend pricing without notice.
Due to fluctuations in the market value of precious metals, including but not limited to sterling silver and gold, the Seller reserves the right to amend product pricing at any time and without prior notice. Prices applicable to an order will be those in effect at the time the order is placed and accepted by the Seller.
6. Payment
Payment must be received in full before goods are dispatched unless otherwise agreed in writing.
Ownership of the Goods remains with the Seller until payment has been received in full.
7. Delivery
Estimated delivery dates are provided for guidance only and are not guaranteed.
The Seller shall not be liable for delays caused by postal services, couriers, customs processes, adverse weather conditions, or circumstances beyond reasonable control.
Risk in the Goods passes to the Buyer upon delivery.
8. Inspection of Goods
The Buyer must inspect all Goods upon receipt.
Any shortages, manufacturing defects, or incorrect items must be reported within 7 days of delivery.
Failure to notify the Seller within this period shall be deemed acceptance of the Goods.
9. Returns
Due to the nature of trade-manufactured jewellery components, returns are only accepted for defective or incorrectly supplied Goods.
Custom-made, bespoke, special-order, or made-to-order items are non-refundable unless faulty.
Returned Goods must be unused and in their original condition.
10. Manufacturing Tolerances
The Buyer acknowledges that precious metal jewellery components may contain minor manufacturing marks, polishing marks, casting variations, and dimensional tolerances consistent with industry standards.
Such variations shall not be considered defects.
11. Intellectual Property
All designs, CAD files, drawings, renderings, product concepts, photographs, and marketing materials remain the intellectual property of the Seller unless otherwise agreed in writing.
The purchase of Goods does not transfer ownership of any intellectual property rights.
The Buyer may use purchased blanks to create and sell finished memorial jewellery products.
The Buyer may not copy, reproduce, manufacture, or commission manufacture of the Seller’s designs without written permission.
12. Limitation of Liability
The Seller’s liability shall be limited to the purchase price of the Goods supplied.
The Seller shall not be liable for any indirect, consequential, or economic loss including loss of profits, business interruption, customer claims, or reputational damage.
13. Memorial Jewellery Applications
Where Goods are used in the creation of memorial jewellery or keepsakes, the Seller accepts no liability for loss, damage, contamination, handling errors, or issues arising from the incorporation of ashes, hair, fur, breast milk, fabrics, or other sentimental inclusions by the Buyer.
Responsibility for all memorial inclusions remains solely with the Buyer.
14. Force Majeure
The Seller shall not be liable for failure or delay in performing obligations caused by events beyond reasonable control including natural disasters, strikes, supplier shortages, transport disruption, pandemics, or government restrictions.
15. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
16. Acceptance
Placement of an order constitutes acceptance of these Terms and Conditions in full.
